This User Agreement ("Agreement") is entered into between Padikash Limited, a company registered in Ireland under company registration number 695564, having its registered address at Suite 10725 Poplar House, Naas, County Kildare, W91 XV1N, Ireland, hereinafter referred to as "WealthyLoop" or "Platform," and any individual or entity ("User" or "You") accessing or using the WealthyLoop website located at WealthyLoop.com ("Website") and the services provided therein.
1.1 By accessing or using the WealthyLoop website and services, you agree to be bound by the terms and conditions of this Agreement. If you do not agree with any part of this Agreement, you may not access or use the WealthyLoop platform.
1.2 WealthyLoop reserves the right to modify or amend this Agreement at any time without prior notice. Your continued use of the platform following any such modifications constitutes your acceptance of the revised Agreement.
2.1 WealthyLoop operates an online peer-to-peer lending platform accessible through the Website ("Platform"). The Platform allows investors to invest in loans for a return on investment ("ROI").
3.1 In order to access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication inputs, and for all activities that occur under your account.
4.1.1 The User agrees not to engage in any illicit conduct while using the WealthyLoop platform, including but not limited to fraud and money laundering.
4.1.2 Upon registration and throughout the use of the platform, the User agrees to provide accurate and truthful information.
4.1.3 The User agrees to utilize only secure means and devices for electronic communications and data transfer while using the platform.
4.1.4 The User agrees to promptly inform WealthyLoop, either in writing or through the platform, of any changes to their personal information provided during registration, including name, surname, company name (if applicable), details of the authorized representative (for legal entities), email address, user bank account number, or any other relevant information.
4.1.5 The User agrees to maintain decorum and observe moral standards in all communications with WealthyLoop.
4.1.6 The User agrees to timely submit information and documents required by WealthyLoop for the purpose of conducting due diligence according to WealthyLoop's Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures and policies.
By agreeing to these Terms and Conditions, the User acknowledges their capability to make informed decisions regarding purchases of claims and the conclusion of Assignment Agreements. The User also acknowledges understanding all associated risks, including the risk of non-recovery of the claim or a portion thereof. Furthermore, the User understands that the security interest associated with the collateral (if any) remains registered in favor of the original loan originator and is not re-registered in favor of the assignee.
The User acknowledges that third parties who gain access to the User's password or two-factor authentication inputs can access the User's profile and undertake obligations on behalf of the User. Activities carried out on the platform using the correct user credentials will be deemed to have been performed by the User.
The User is responsible for ensuring that there are sufficient funds in their Virtual Account to cover payments for purchasing claims and for withdrawing funds. WealthyLoop shall not be held liable for any damage or loss resulting from insufficient funds in the User's Virtual Account.
The User acknowledges that WealthyLoop and loan originators have an obligation to maintain the confidentiality of borrower's personal data. Therefore, WealthyLoop and loan originators will only disclose limited information about borrowers, guarantors, pledgors, and collateral (if any) within the scope of the Assignment Agreement. The User agrees not to request disclosure of confidential borrower information and not to lodge complaints against WealthyLoop, loan originators, or borrowers in this regard.
During the validity period of the Assignment Agreement, the User (Assignee) agrees not to directly contact the borrower regarding the concluded Assignment Agreement or the transferred claim. This includes refraining from visiting the borrower at their residence or business location, communicating with them via messenger applications or social media, requesting payments directly from the borrower without mediation of the loan originator, making claims against the borrower or collateral (if any), or initiating legal claims against the borrower.
5.1 All content and materials on the WealthyLoop platform, including but not limited to text, graphics, logos, images, software, and audio/video clips, are the property of WealthyLoop or its licensors and are protected by copyright, trademark, and other intellectual property laws.
5.2 You may not modify, reproduce, distribute, transmit, display, perform, or create derivative works of any content or materials on the platform without the prior written consent of WealthyLoop.
6.1 WealthyLoop collects, uses, and protects your personal information in accordance with its Privacy Policy, available on the Website. By using the Platform, you consent to the collection and use of your personal information as described in the Privacy Policy.
7.1 Any disputes arising out of or relating to this Agreement shall be resolved in accordance with the dispute resolution procedures set forth in the WealthyLoop Terms and Conditions.
8.1 This Agreement shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.
8.2 Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts of Ireland, and you hereby consent to the jurisdiction of such courts for such purposes.
9.1 This Agreement constitutes the entire agreement between you and WealthyLoop regarding your use of the Platform and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings between you and WealthyLoop.
9.2 If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect.
